Terms of Service

Version 2026-10-31.1Effective October 31, 2026

Effective date: 31 October 2026

English is the source and governing version of these Terms of Use. If any translation differs from the English version, the English version prevails.

1. Who we are and scope

Amya is operated by AMYA AFRICA LTD, a company registered in England and Wales under company number 17469906, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

In these Terms of Use ("Terms"), "Amya", "we", "us" and "our" mean AMYA AFRICA LTD. "You" and "your" mean the business organization (including an incorporated company, partnership or commercial sole trader) accessing or using Amya through its authorized users.

These Terms govern your organization's access to and use of Amya's websites, mobile applications and marketplace services. They incorporate by reference our Billing Terms and Acceptable Use Policy. Our Privacy Notice and Cookies Policy explain how we handle personal data and device storage. These Terms do not govern the separate contract for the sale of goods between a buyer and a supplier.

For general enquiries, contact support@amya.africa. For billing enquiries, contact billing@amya.africa.

2. What Amya is — and our strictly intermediary role

Amya is a cross-border business-to-business (B2B) marketplace connecting African commercial merchants (traders, importers and retailers purchasing for commercial markets) directly with manufacturers, exporters and suppliers worldwide, particularly in Asia.

Amya provides an online venue for supplier discovery, product catalogues, requests for quotation (RFQs), quotations, machine-translated business messaging and optional organization-verification signals. Live interpreted calls are not currently enabled.

Amya is never a party to any sale transaction:

  • We do not buy, sell, manufacture, inspect, warehouse, insure, ship, import, export or hold title to any goods advertised on Amya.
  • We do not act as an agent, broker, escrow provider, payment processor or guarantor for any buyer or supplier in relation to any sale of goods.
  • Any sale contract is formed and performed strictly and directly between the participating buyer organization and supplier organization, who bear sole responsibility for agreeing and complying with all commercial, payment, shipping, customs and regulatory terms.
  • Subscription payments described in Section 4 and the Billing Terms are strictly fees for Amya's own software platform plans, never payments for supplier goods.

3. Eligibility, accounts and organizational authority — business users only (18+)

  • Strictly B2B — no consumers: Amya is available exclusively to bona fide businesses, commercial traders and corporate entities acting wholly in the course of their trade, business or profession. Individuals acting as consumers for personal, family or household purposes are strictly prohibited from registering or using Amya.
  • Minimum age (18+): Every individual registering an account or accessing Amya on an organization's behalf must be at least 18 years of age and possess full legal capacity to enter into binding commercial contracts. Persons under 18 are strictly prohibited from using Amya.
  • Individual acceptance and authority to bind: Registration requires accepting the current versions of these Terms and acknowledging the Privacy Notice. Acceptance is recorded individually for each user account; one colleague's acceptance does not substitute for another user's individual acceptance requirement. By accepting these Terms on behalf of an organization, each user represents and warrants that they have full legal authority to bind that organization to these Terms. If you lack that authority, you must not register or use Amya.
  • Account security and accuracy: You must provide accurate, complete and up-to-date information about your organization and users. Your organization is legally responsible for managing user roles and for all activity conducted through its authorized users' accounts. Keep login credentials strictly confidential, do not share accounts with unauthorized individuals, and notify support@amya.africa immediately if you suspect unauthorized access.

4. Free buyers and paid supplier plans

Full operational rules regarding plans, payment methods, taxes, invoices, cancellations and refunds are set out in the Billing Terms, which form part of your contract with Amya for paid plans.

4.1 Buyers are always free

Buyer organizations use Amya free of charge, whether verified or unverified. Organization verification does not create a paid buyer tier.

4.2 Paid supplier plans and separate Supplier Agreement

Supplier organizations start on a free basic supplier plan and may purchase one of three paid supplier plans for fixed periods of one year (12 calendar months) or six months (6 calendar months) at the prices displayed on the plans page and at checkout. Payments are processed in GBP, EUR or USD through AMYA AFRICA LTD's UK Stripe account by payment card or Stripe-hosted bank transfer (where offered), or by manual bank transfer with proof-of-payment upload (where offered, taking effect only upon finance approval, not upon sending funds).

Before starting a free trial, purchasing a paid plan or publishing products, authorized supplier users must also separately accept the Supplier Agreement.

4.3 Manual renewal only — no automatic billing

Paid plans never renew automatically. Each paid period is a standalone purchase requiring an active payment initiated by the supplier. Nothing is charged without your action.

Unless a renewal period has already been purchased and scheduled, Amya sends reminders to the organization's active owners and administrators 7 days and 1 day before the paid period ends, and a final notice when it ends. If a paid period expires without a confirmed renewal payment, the supplier organization automatically returns to the free basic supplier plan; its existing product listings remain on the platform, subject to basic-plan feature and allowance limits.

4.4 New-supplier free trial

Where offered, eligible new supplier organizations may take a one-time free trial lasting 14 days, initiated by the organization's owner without requiring a payment card. Eligibility is strictly limited to one trial per organization and one trial per individual initiating it; organizations that have previously paid for a plan are ineligible, and closing an organization to create another does not grant a second trial.

A paid plan confirmed during an active trial is scheduled to start immediately when the trial ends so remaining trial days are preserved. Without a confirmed paid plan, the organization returns to the free basic supplier plan at trial expiry with its listings preserved.

4.5 Time-limited launch offer

Where open, the launch offer grants 50% off the standard plan price for the first 12 months of covered paid periods (either one 12-month paid period or the first two 6-month paid periods) to supplier organizations that have never previously paid for a plan at the standard price (a free trial or complimentary grant does not disqualify an organization, but closing an organization and creating a new organization for the same business, affiliate or principal does not create fresh eligibility).

The first discounted period must be purchased while the offer is open and before the closing date displayed on the plans page and checkout. Suppliers who enter before the offer closes retain the 50% discount for their remaining covered period (i.e., their second consecutive 6-month period) even if purchased after the offer has closed to new entrants. All subsequent manual renewals are charged at the prevailing standard price.

5. Listings, RFQs, quotations and your sale contract

5.1 Your organization's content obligations

Your organization is solely responsible for all listings, catalogues, RFQs, quotations, messages and files submitted by its users, including content drafted or translated using AI tools. All commercial information must be truthful, accurate, current, lawful and not misleading. You must clearly state product specifications, minimum order quantities, unit prices, currencies and commercial conditions, and must never offer goods you lack legal right or authorization to supply.

5.2 Commercial negotiations and Incoterms®

Listings, RFQs and quotations exchanged on Amya are commercial communications between businesses (operating as invitations to treat unless the trading parties expressly agree in writing to be legally bound). Whether and when a binding contract of sale arises depends strictly on the agreement between buyer and supplier and the law governing their transaction.

Buyers and suppliers are solely responsible for negotiating and documenting their own written sale contracts, including product specifications, quality inspection, price, payment security, shipping schedules, warranties, remedies, import/export licences, customs clearance, duties, taxes, governing language, governing law and dispute resolution. If you incorporate Incoterms® rules, expressly specify the chosen rule, edition (e.g., Incoterms® 2020) and named port or place, noting that Incoterms® do not govern title transfer, payment mechanics, product warranties or dispute resolution.

5.3 No Amya transaction guarantee

Neither a listing, RFQ, quotation, message nor a verification badge constitutes an endorsement, certification or guarantee by Amya. Amya does not verify or warrant any trading partner's creditworthiness, solvency, authority, product quality, safety, intellectual-property compliance, customs eligibility or contractual performance. Always conduct independent commercial and legal due diligence before paying funds or shipping goods.

6. Intellectual property and content licence

6.1 Amya's intellectual property

All intellectual-property rights in the Amya platform, software, algorithms, interface design, databases, documentation, logos and the "Amya" name and trademarks belong exclusively to AMYA AFRICA LTD or its licensors. Except for the limited right to access and use the platform in accordance with these Terms, no right, title or interest is transferred to you. You must not copy, reverse-engineer, decompile, frame, scrape, crawl or use automated bots or data-harvesting tools to extract directory, buyer, supplier or catalogue data from Amya (except to the extent reverse-engineering restrictions are prohibited by mandatory law).

6.2 Your content and licence to Amya

As between you and Amya, your organization retains ownership of the intellectual-property rights in the catalogue photos, product descriptions, trademarks, documents and messages you submit ("Organization Content").

By submitting Organization Content to Amya, your organization grants AMYA AFRICA LTD a worldwide, non-exclusive, royalty-free, transferable licence (with the right to sublicense strictly to our cloud, CDN, moderation and AI service providers) to host, store, cache, reproduce, index, format, machine-translate, generate synthesized speech from, moderate, display and distribute that Organization Content as reasonably necessary to operate, secure, promote (with respect to public supplier listings) and provide the Amya platform services. This licence continues until the relevant Organization Content is deleted from the platform, save to the extent retention is required or permitted for counterparty conversation records, backups, legal compliance or dispute defence as described in the Privacy Notice. You warrant that your organization owns or holds all necessary rights and licences to grant this licence without infringing any third-party rights.

7. Organization verification and badges

  • Verification checks: Where available, organization verification is free for both buyers and suppliers. Verification reviews the organization's official business-registration document and the authorized representative's passport or national identity card (without selfies or facial recognition), alongside corporate-registry lookups where supported.
  • Provisional pre-check vs staff decision: Where automated AI document pre-checking is enabled, documents may receive a provisional status of "checked automatically, review pending". A provisional status is not verification approval and confers no badge. Final approval or refusal is decided by Amya human staff; any refusal includes stated reasons and an opportunity to appeal via the platform or support@amya.africa.
  • Scope and limits of badges: A verification badge indicates solely that the organization passed Amya's documentary review at the time of assessment. You must never misrepresent a provisional status as approval, forge a badge, or represent a badge as an Amya warranty of your goods, licences, financial standing or transactions. Amya may revoke verification if documents expire, ownership changes without re-verification, or concerns regarding authenticity or compliance arise.

8. AI-assisted features and transparency

8.1 Point-of-use transparency

Where Amya offers AI-powered features, they are disclosed clearly at the point of use:

  • AI assistant: Users are informed before or at the start of an interaction that they are communicating with an AI system, not a human.
  • Machine translation and synthetic content: Machine-translated messages, synthesized "listen in my language" speech, and AI-generated catalogue text or images are labelled as AI-generated and kept distinguishable from original user content.
  • Live call AI interpretation (currently disabled): If live interpreted calls are enabled in the future, participants will be notified prior to call connection that interpretation is performed by AI.
  • Automated pre-checks: Automated verification pre-checks are clearly distinguished from final human staff approval.

You must not strip, obscure or falsify any AI disclosure or label on the platform.

8.2 Mandatory human review before reliance

AI translations, summaries, interpretations and assistant outputs can be inaccurate, incomplete or mistranslate technical or numerical trade specifications. Your organization must independently review and verify all AI-generated or translated content—and confirm critical quantities, specifications, prices, currencies and delivery terms directly with your counterparty—before relying on them or entering into any commitment. AI outputs are never legal, tax, customs or financial advice, and your organization remains legally responsible for the communications and offers it chooses to send.

If live interpreted calls are enabled in the future, Amya will not record call audio, and interpreted text/translations will be stored as call segments strictly if every participant explicitly consents to retention (separately from acknowledging the use of AI interpretation).

9. Prohibited content, sanctions and trade compliance

You must comply at all times with these Terms and our Acceptable Use Policy. You must not use Amya to:

  • list, request, offer or trade unlawful, counterfeit, pirated, stolen, hazardous, embargoed or unsafe goods, or goods whose sale, import or export is prohibited in the origin, transit or destination jurisdiction;
  • publish false or deceptive commercial claims, impersonate any person or business, submit forged registration or identity documents, or misrepresent your authority or verification status;
  • infringe any copyright, trademark, patent, trade secret, database right, privacy right or other third-party legal right, or unlawfully disclose personal data;
  • harass, threaten, defame or defraud any person, or transmit unlawful, abusive or harmful material;
  • upload malware, probe or breach platform security, disrupt infrastructure, scrape platform data or bypass access or re-acceptance controls; or
  • submit knowingly false notices or abuse reporting, complaint or appeal mechanisms.

Sanctions, export controls and anti-corruption: Your organization represents, warrants and undertakes that neither it, nor any of its beneficial owners, directors or authorized users, is listed on or owned/controlled by any person listed on any sanctions list maintained by the United Kingdom (OFSI), the European Union, the United Nations or the United States (OFAC), or established in a comprehensively embargoed territory. You must comply with all applicable sanctions, export-control, customs, anti-money laundering, anti-bribery (including the UK Bribery Act 2010) and anti-fraud laws, and must never use Amya to evade trade restrictions.

10. Notices, content moderation, complaints and traceability

10.1 Notice and action (reporting unlawful content or breaches)

Single point of contact: support@amya.africa serves as Amya's designated single point of contact for users, third-party notifiers and regulatory authorities (including under the EU Digital Services Act and the UK Online Safety Act 2023). Communications may be submitted in English.

Signed-in users may report products, organizations, messages, reviews, review replies or users directly using the in-app reporting tool. Any person or entity may also report suspected unlawful content without signing in or holding an account by emailing support@amya.africa with:

  1. a sufficiently substantiated explanation of why the content is alleged to be unlawful (identifying the relevant jurisdiction and law where known);
  2. the precise electronic location of the content (such as the URL, listing ID or message ID) and any details necessary to identify it;
  3. your name and email address (except where applicable law permits anonymous reporting of specific serious offences); and
  4. a statement confirming your good-faith belief that the information and allegations in the notice are accurate and complete.

We review notices in a timely, diligent, objective and non-arbitrary manner. Where contact details are provided via our notice channel (or where required by applicable law), we confirm receipt without undue delay and notify the reporter of our decision and available redress options. Submitting a notice does not guarantee removal and does not adjudicate commercial contract disputes between buyers and suppliers.

10.2 Statements of reasons

Whenever we restrict content visibility, remove content, suspend or terminate access, or restrict platform features due to alleged unlawful content or a breach of our terms, we provide the affected recipient with a clear and specific statement of reasons no later than when the restriction takes effect (unless prohibited by law or a law-enforcement directive), setting out the restriction's scope, the facts and legal or contractual grounds relied upon, any use of automated detection/decision tools, and available redress routes.

10.3 Internal complaints and appeals

  • In-app organization appeals: An authorized user of an organization affected by a moderation or verification decision may submit one internal appeal per decision in-app within 180 days of the decision, explaining why the decision should be reversed and attaching supporting evidence.
  • Extended statutory and reporter appeals: Where mandatory law (including EU Digital Services Act Article 20, where applicable, or UK Online Safety Act complaints rules) grants an affected recipient or a content notifier a right to complain—including within six (6) calendar months from the date of being informed of the decision, or against a decision not to act on a report—complaints may be submitted free of charge electronically to support@amya.africa identifying the relevant report or decision.
  • Human review and external redress: Appeals are reviewed in a timely, diligent and non-arbitrary manner by qualified human staff who were not involved in the initial decision (never solely by automated means). If a decision is reversed, affected content or access is restored promptly. Where the EU Digital Services Act applies, eligible users and notifiers may also refer disputes to a certified out-of-court dispute-settlement body, and always retain the right to seek judicial redress before a competent court at any stage.

10.4 Supplier compliance and statutory traceability

Suppliers must maintain accurate business-identity and contact records on Amya at all times. Where mandatory law requires additional trader-traceability verification or public trader disclosures in relation to specific territories, suppliers must promptly provide and update the required verification particulars upon request as a condition of offering listings in those territories.

11. Suspension, termination and organization closure

  • Enforcement by Amya: We may issue a warning, remove or restrict specific listings or content, limit platform features, or suspend or terminate an user's or organization's access where reasonably necessary to address a material or repeated breach of these Terms or the Acceptable Use Policy, suspected fraud, sanctions/AML risks, a serious security or safety threat, or a legal requirement. Measures are applied proportionately. Except where immediate action is necessary to prevent serious harm, fraud, security compromise or unlawful activity (or where notice is legally prohibited), we will notify you of the concern and allow a reasonable opportunity to remedy a curable breach before suspending or terminating your organization. Frequent submission of manifestly illegal content or manifestly unfounded notices/appeals is addressed only after prior warning and case-by-case proportionality assessment.
  • Voluntary closure vs personal account deletion: Your organization may stop using Amya at any time and request organization closure via the platform (where eligible) or support@amya.africa. Organization closure and personal-account deletion are separate processes:
  • A suspended organization or an organization with a pending or disputed billing balance cannot use self-service closure and must contact support@amya.africa or billing@amya.africa.
  • An individual who is an organization's sole active owner must transfer ownership or close the organization before using self-service personal-account deletion (staff and sales-representative accounts also require assisted closure).
  • Consequences of ending access: Termination or closure ends platform access as described in the Billing Terms and Privacy Notice, does not cancel or alter any separate sale contract between a buyer and a supplier, does not trigger any automatic renewal charge, and leaves intact all provisions that by their nature are intended to survive (including Sections 2, 5.2, 5.3, 6, 12, 14 and accrued payment obligations). Refunds and unused paid periods are governed by the Billing Terms and Section 13 below.

12. Warranties, liability allocation and indemnity

12.1 Service standard and exclusion of implied warranties

We will provide Amya's platform services using reasonable care and skill. Except as expressly stated in these Terms, the platform, directory, verification signals and AI tools are provided on an "as is" and "as available" basis. We do not warrant that access will be uninterrupted or error-free, that you will achieve any commercial sales, sourcing results or cost savings, or that any trading partner will perform its obligations. To the fullest extent permitted by English law, all other warranties, conditions, representations and terms implied by statute, common law or trade usage (including any implied terms as to fitness for a particular purpose, satisfactory quality or non-infringement) are expressly excluded.

12.2 Liabilities that are never excluded or limited

Nothing in these Terms excludes or limits either party's liability for:

  1. death or personal injury caused by negligence;
  2. fraud or fraudulent misrepresentation; or
  3. any other liability, statutory duty or mandatory legal remedy (including non-excludable data-protection liabilities) that cannot lawfully be excluded or limited under applicable law.

12.3 Exclusion of specific commercial and consequential losses

Subject always to Section 12.2, AMYA AFRICA LTD shall not under any circumstances be liable to you (whether in contract, tort including negligence, breach of statutory duty, restitution or otherwise) for any:

  1. loss of profits, revenue or commission (whether direct or indirect);
  2. loss of sales, business, commercial contracts or trading opportunities, including any loss arising from a buyer–supplier sale contract, defective or non-delivered goods, counterparty non-payment, customs seizure, or reliance on AI translations or verification signals (whether direct or indirect);
  3. loss of anticipated savings (whether direct or indirect);
  4. loss of or damage to goodwill or business reputation (whether direct or indirect);
  5. loss or corruption of data or content (beyond taking reasonable care to maintain our scheduled backups); or
  6. any indirect, special or consequential loss or damage whatsoever.

12.4 Aggregate monetary liability cap

Subject always to Sections 12.2 and 12.3, AMYA AFRICA LTD's total aggregate liability to your organization (and all users acting on its behalf combined) for all claims arising out of or in connection with these Terms or the platform services in any twelve-month period—whether in contract, tort (including negligence), breach of statutory duty or otherwise—shall in all circumstances be strictly limited to the greater of:

  1. for a paying supplier organization: 100% of the total subscription plan fees actually paid by your organization to AMYA AFRICA LTD in the twelve (12) months immediately preceding the event giving rise to the claim; or
  2. for a free buyer organization or basic-plan organization that has paid no plan fees in that period: £100 GBP in the aggregate.

You acknowledge that this allocation of risk is fair and reasonable given that buyers use Amya free of charge, supplier subscription fees reflect software access rather than transaction value, Amya charges no commission on buyer–supplier trades, and trading parties control their own off-platform contracts and risk protections.

12.5 Your organization's indemnity to Amya

Your organization shall indemnify, defend and hold harmless AMYA AFRICA LTD, its directors, officers and employees from and against all third-party claims, regulatory fines, actions, liabilities, damages, losses and reasonable legal costs directly arising out of or relating to:

  1. any claim that Organization Content (including product listings, images, brands or documents) infringes any third party's intellectual-property, privacy or proprietary rights;
  2. your organization's offer, supply, purchase, import or export of counterfeit, illegal, unsafe, sanctioned or restricted goods, or any breach of Section 9 (including sanctions, export-control or customs laws);
  3. any commercial dispute, non-payment, product-liability claim or breach arising out of a sale contract or negotiation between your organization and another marketplace participant; or
  4. your organization's unlawful submission or disclosure of third-party personal data on the platform.

Amya will promptly notify you of any such third-party claim, permit you reasonable input into its defence (subject to Amya's right to protect its regulatory standing and reputation), and not settle any claim imposing financial liability on you without your consent (not to be unreasonably withheld or delayed).

13. Changes to these Terms and re-acceptance

We may update these Terms (or our incorporated policies) to reflect changes in law, regulatory requirements, security or platform features. We will publish the updated version with a new effective date, highlight material changes, and give at least 15 days' advance electronic notice (unless shorter or immediate implementation is strictly required by law, court/regulatory order, or an urgent cybersecurity or fraud-prevention risk).

  • Individual re-acceptance mechanism: Where an updated version of these Terms, the Privacy Notice, the Supplier Agreement or the Representative Agreement is designated as requiring renewed acceptance, each authorized user must record acceptance in their own account. Until accepted, signed-in actions that create, modify or delete platform data are restricted, except that users may still sign in, read existing records, export personal data, manage passwords, sessions and notification settings, initiate personal-account deletion, or contact support@amya.africa to close their organization, submit an unlawful-content notice or file an appeal without being required to accept the updated terms.
  • Protection during an active prepaid period: Updates never authorize automatic renewal or impose retroactive charges. If we introduce a material change during an active prepaid supplier period that materially reduces your agreed paid-plan features or materially alters your commercial obligations to your detriment (other than changes mandated by applicable law or urgent security duties), and your organization declines the update and requests organization closure via billing@amya.africa within 30 days of our notice, you will receive a pro-rata refund of prepaid plan fees for the full unused calendar months remaining in that period.

14. General legal provisions, governing law and jurisdiction

  • Entire agreement and non-reliance: These Terms (together with the Billing Terms, Acceptable Use Policy and, where applicable, the Supplier Agreement or Representative Agreement) constitute the entire agreement between your organization and Amya regarding platform access, superseding all prior discussions or understandings. Each party acknowledges that in entering into these Terms it does not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty not expressly set out in them (nothing limits liability for fraud).
  • No third-party beneficiaries: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
  • Force majeure: Amya shall not be in breach of these Terms or liable for delay or failure in performing its obligations caused by events beyond its reasonable control, including internet, telecommunications or subsea-cable outages, cloud-provider or payment-network failures, cyberattacks, acts of God, war, civil unrest, government orders or sanctions changes.
  • Assignment, severability and waiver: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Amya may assign its rights and obligations to an affiliate or in connection with a merger, reorganization or sale of business assets upon notice to you. If any provision is held invalid or unenforceable by a court, it shall be modified to the minimum extent necessary to make it valid (or severed), without affecting the remaining provisions. Delay or failure to exercise a right is not a waiver of that right.
  • English version prevails: Translations are provided for convenience only. In any conflict between the English version and a translation, the English version governs these platform Terms (without dictating the contract language chosen between a buyer and supplier for their separate sale contract).
  • Governing law and exclusive jurisdiction: These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales located in London shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. Seeking informal resolution via support@amya.africa is optional and does not restrict access to the courts or mandatory statutory complaint channels.
