English is the source and governing version of this Acceptable Use Policy. If any translation differs from the English version, the English version prevails.
1. Who we are and scope
This Acceptable Use Policy ("Policy") is issued by AMYA AFRICA LTD, a company registered in England and Wales under company number 17469906, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("Amya", "we", "us" or "our").
Amya is a cross-border business-to-business (B2B) marketplace connecting African commercial merchants (traders, importers and retailers buying for commercial markets) directly with manufacturers, exporters and suppliers worldwide, particularly in Asia. Amya operates strictly as an intermediary platform: it is not a party to any sale contract between a buyer and a supplier, and it does not sell, ship, inspect or hold title to goods.
This Policy forms part of, and is incorporated into, the Amya Terms of Use ("Terms"). It applies to every business organization using Amya and to each of its authorized users ("you"), across every Amya website, the Android application and every platform feature, including product listings, organization profiles, requests for quotation (RFQs), quotations, messages, voice notes, files, reviews, review replies and content created or modified using Amya's AI tools. Capitalized terms not defined here have the meaning given in the Terms.
Your organization is legally responsible for the conduct of its users and for all content they submit, including content drafted, translated or generated with AI tools.

2. Prohibited and restricted goods
You must not list, offer, request, quote for, advertise or arrange the supply of any goods or services whose manufacture, sale, purchase, possession, import, export or transit is prohibited—or requires a licence, permit or authorization that the relevant party does not hold—under the laws of the country of origin, any transit country or the country of destination. In particular, the following are strictly prohibited on Amya:
- Weapons and military items: firearms, ammunition, explosives, ordnance, weapon parts and accessories, military, police or paramilitary equipment, and items designed to inflict physical harm.
- Controlled drugs and paraphernalia: narcotics, psychotropic substances, controlled precursors, drug paraphernalia, and products marketed as illicit or psychoactive substitutes.
- Counterfeit and infringing goods: goods bearing a trademark, brand or logo without the right-holder's authorization, replicas, imitations or "copies" of branded goods, pirated media or software, and goods that otherwise infringe intellectual-property rights (see Section 4).
- Stolen or unlawfully obtained goods: property obtained by theft, fraud, embezzlement or other unlawful means.
- Protected wildlife, flora and natural resources: species, parts and derivatives (including ivory, rhino horn, pangolin scales, protected marine life and restricted timber) prohibited under CITES or national law, or conflict minerals traded in breach of applicable law.
- Hazardous, recalled and unsafe goods: goods that fail mandatory product-safety or compliance standards in the destination market, goods subject to a safety recall, and hazardous chemicals, toxic waste, ozone-depleting substances or dangerous goods traded in breach of applicable law or international conventions (including the Basel, Rotterdam and Stockholm Conventions).
- Human body parts and fluids: human remains, organs, tissues, blood or bodily fluids.
- Sanctioned, embargoed and controlled dual-use goods: items originating from, destined for, or involving sanctioned territories or persons, or dual-use goods and technologies traded without required export-control licences (see Section 3).
- Sexual services and adult material: pornography, sexually explicit content, sexual services, or non-consensual intimate imagery.
- Instruments of fraud and falsified trade documents: forged or falsified identity documents, corporate certificates, laboratory test reports, certificates of origin, bills of lading, customs declarations or inspection certificates; counterfeit currency; stolen payment instruments; or equipment designed for fraud.
- Unlawful services and human exploitation: money laundering, terrorist financing, human trafficking, child exploitation, or goods manufactured in whole or in part using forced, compulsory, prison or unlawful child labour.
Conditionally restricted goods: Certain commercial categories may be traded lawfully only where the supplier and/or buyer holds valid statutory licences, registrations, conformity certificates or import/export permits (including pharmaceuticals, medical devices, veterinary products, food and agricultural commodities, cosmetics, industrial chemicals, fertilizers, pesticides, telecommunications/radio equipment, precious metals and rough diamonds requiring Kimberley Process certification, cultural property and regulated second-hand goods). If you list, offer or request such goods, you must hold all required authorizations for the jurisdictions concerned and provide documentary proof to Amya upon request. Amya may remove or withhold any listing where satisfactory evidence of authorization is not provided.
3. Sanctions, export controls and customs compliance
You must comply at all times with all sanctions, export-control, import-control and customs laws applicable to your organization and transactions, including those administered by the United Kingdom (including OFSI), the European Union, the United Nations, the United States (including OFAC and BIS) and the jurisdictions of origin, transit and destination. In particular, you must not use Amya:
- if your organization, any of its beneficial owners, directors, officers or authorized users, or your transaction counterparty is designated on—or owned or controlled by a person designated on—any UK, EU, UN or US sanctions list;
- to trade with, source from, ship through or benefit any person or territory subject to comprehensive trade sanctions or an embargo;
- to supply, procure or broker military goods, dual-use items, restricted technology or software without holding every required export and import licence;
- to misdeclare product descriptions, HS/tariff codes, transaction values, country of origin or end-user details, or structure a transaction to evade sanctions, export controls, customs duties, anti-dumping tariffs or trade restrictions; or
- to engage in or facilitate money laundering, terrorist financing, tax evasion, bribery or corruption (including any offence under the UK Bribery Act 2010 or the UK Economic Crime and Corporate Transparency Act 2023).
Buyers and suppliers bear sole responsibility for screening their counterparties, classifying goods, securing licences and clearing customs. Amya does not provide sanctions screening, customs brokerage or legal clearance for user transactions, and neither a listing nor a verification badge on Amya confirms that a transaction is lawful.
4. Intellectual property and anti-counterfeiting
You may list only goods, and upload only names, logos, photographs, descriptions and documents, that your organization owns or is legally authorized to use. You must not:
- offer counterfeit goods, replicas or unauthorized imitations, or describe products using terms such as "replica", "copy", "1:1", "AAA quality", "oem clone" or "original quality" in reference to another party's brand;
- use a third party's trademark or trade name in a product title, description, image or organization profile in a manner that falsely implies dealership, sponsorship, certification or affiliation;
- copy or reuse another supplier's product photography, catalogue copy or technical specification sheets without authorization; or
- offer products or materials that infringe any third party's patent, registered or unregistered design right, copyright, database right or trade secret.
Intellectual-property infringement notices: Right-holders or their authorized agents may report alleged intellectual-property infringement using the notice procedure in Section 8 (by emailing support@amya.africa), specifying the intellectual-property right relied upon (including registration number and jurisdiction where applicable), the exact URL or identifier of the infringing listing, and a good-faith declaration of ownership and authority.
5. Fraud, misrepresentation and payment safety
Cross-border B2B trade requires strict commercial honesty. You must not:
- Misrepresent your business: provide false or misleading information regarding your organization's legal identity, registration number, address, beneficial ownership, manufacturing capacity, trade certifications, or status as a factory versus a trading intermediary, or submit altered or forged verification documents.
- Misrepresent verification status: claim to be verified by Amya when you are not, represent a provisional document check ("checked automatically, review pending") as verification approval, or display a counterfeit or expired badge.
- Impersonate others: impersonate Amya, Amya staff, a financial institution, a payment processor, a freight forwarder, an inspection agency, a government authority or another business.
- Publish deceptive commercial offers: advertise goods you do not have the ability or intention to supply, quote bait-and-switch pricing, or falsify product origin, materials or inspection results.
- Conduct payment or advance-fee fraud: solicit deposits or advance payments with fraudulent intent; send fabricated invoices, bills of lading or wire-transfer receipts; fraudulently intercept or alter beneficiary bank details mid-negotiation; request payment into an unverified personal account unrelated to the contracting supplier organization; or send phishing links.
- Manipulate reviews or search rankings: post fabricated reviews, review your own organization or an affiliated entity, offer monetary or commercial inducements in exchange for positive reviews or the removal of negative reviews, extort or threaten a counterparty over a review, or operate multiple accounts to manipulate platform search or metrics.
- Circumvent enforcement or eligibility limits: open a new account or organization to bypass a suspension, moderation restriction, or the one-time eligibility limits for free trials and promotional launch offers under the Billing Terms.
Off-platform payment safety: Because Amya does not process payments for goods, buyers and suppliers settle their sale contracts directly outside Amya. To help protect users against wire fraud, Amya's messaging interface displays automated safety warnings when a message contains bank details (such as IBAN, SWIFT/BIC or account numbers) or external links. These warnings do not block legitimate commercial settlement discussions and do not certify whether a message is safe or fraudulent. Before remitting any funds, always verify beneficiary account details independently with your counterparty using a trusted secondary verification method, and exercise extreme caution if asked to change bank accounts mid-deal. Communications designed to deceive or defraud a counterparty in relation to payment are strictly prohibited and subject to immediate removal and account termination.
6. Prohibited content and platform conduct
You must not use Amya to upload, transmit or display content, or engage in conduct, that:
- violates any law applicable to you, your counterparty or Amya;
- promotes hatred, discrimination or dehumanizing attacks against individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability or age;
- harasses, intimidates, blackmails, stalks, doxxes or threatens any person or business;
- glorifies, incites or threatens violence or physical harm;
- is defamatory or maliciously spreads known falsehoods to damage a business or individual;
- unlawfully discloses personal data (such as publishing an individual's private telephone number, residential address, personal email, passport/ID image or personal bank details in public catalogue listings or reviews) or misuses business contact data obtained on Amya for unsolicited third-party marketing in breach of applicable data-protection law;
- constitutes spam, bulk unsolicited messaging, repetitive off-topic promotions, keyword stuffing, or placeholder listings that do not offer genuine commercial goods;
- uploads irrelevant or deceptive product media (such as catalogue photos that do not depict the actual goods offered, or images consisting primarily of overlaid contact numbers or watermarks);
- attempts to manipulate, jailbreak or inject adversarial instructions ("prompt injection") into Amya's AI assistants, translation engines or automated moderation models;
- compromises platform security or stability: introducing malware, viruses or malicious code, probing or scanning infrastructure, overloading servers, bypassing authentication, rate limits or legal re-acceptance gates, or reverse-engineering platform software (save to the extent permitted by mandatory law);
- scrapes or harvests platform data: deploying bots, spiders, crawlers or automated extraction tools to copy supplier directories, buyer profiles, product catalogues or pricing data, or using extracted platform data to populate a competing service; or
- abuses notice, reporting or appeal channels by submitting knowingly false reports or using safety mechanisms to disrupt a competitor.
7. Content detection and moderation
7.1 Automated safety checks
To maintain a safe B2B marketplace, Amya uses automated moderation tools—including enterprise AI models (Google Gemini on Vertex AI)—to screen content before or shortly after submission:
- Text moderation: Product listings, organization profiles, RFQs, quotations and review replies are checked against the prohibited categories in Sections 2, 5 and 6 (including illegal goods, fraud, hate speech, harassment, sexual content, violence, unlawful public disclosure of personal data and spam). New or edited product listings are published only after passing automated screening. Private chat messages and voice-note transcripts are not screened automatically; they are reviewed by our staff when reported.
- Image moderation: Product photos, profile media, AI photo-studio outputs and chat images are screened for explicit content, violence, hate symbols, exposed personal identity documents and (for public product listings) product relevance. Chat images are screened before the recipient can open them.
- Payment and link warnings: Chat messages are scanned for payment identifiers and external URLs to trigger the non-blocking safety reminders described in Section 5.
When an automated check rejects content, the item is prevented from being published, or is hidden or removed, without prior human intervention. Your organization receives a formal statement of reasons disclosing that the action was taken by automated means and explaining how to appeal to a human reviewer (Section 10). Automated checks are never used to refuse organization verification; only human staff can refuse verification.
7.2 Human moderation
Amya's trust and safety staff review user and third-party reports, conduct manual compliance investigations, make all organization-verification decisions, moderate buyer reviews prior to publication, and decide all internal appeals.
7.3 No general monitoring warranty
Moderation is a safety measure and does not constitute a general obligation to monitor all platform activity or a guarantee that every listing, message or user is lawful.
8. Reporting illegal content and breaches (notice and action)
- In-app reporting (signed-in users): Signed-in users can report a product listing, organization, user, message, review, review reply, RFQ or quotation using the built-in report button alongside the item, selecting the relevant reason and adding supporting context (subject to one open report per user per item and reasonable anti-abuse rate limits).
- Public reporting by anyone (no account required): Any individual or entity, with or without an Amya account, may report suspected illegal content or a breach of this Policy electronically by emailing support@amya.africa (Amya's designated single point of contact for users, third-party notifiers and authorities; communications may be submitted in English). To enable diligent assessment, please include:
- a sufficiently substantiated explanation of why the content is alleged to be illegal or in breach of this Policy (identifying the relevant jurisdiction and law where known);
- the precise electronic location of the content (such as the URL, listing ID or message ID) and any details needed to locate it;
- your name and email address (unless applicable law permits anonymous reporting of specific serious offences); and
- a statement confirming your good-faith belief that the information and allegations in your notice are accurate and complete.
- How we handle notices: We assess notices in a timely, diligent, objective and non-arbitrary manner. Where contact details are provided, we acknowledge receipt of email notices and notify the reporter of our decision (whether action was taken or the report was dismissed) together with information on available redress.
- Reporting serious criminal threats: Where Amya becomes aware of information giving rise to a suspicion that a serious criminal offence involving an imminent threat to the life or physical safety of any person has taken place, is taking place or is likely to take place, we will promptly notify the competent law-enforcement or judicial authorities as required by law.
9. Enforcement measures
Where content or conduct violates this Policy, the Terms or applicable law, Amya may take one or more of the following proportionate enforcement actions, taking into account the severity, nature, intent, risk of harm and prior compliance history:
- Issuing a formal warning to the organization or user (by email or platform notification).
- Hiding or unpublishing content: pausing or rejecting a product listing, hiding public organization profile text, or hiding/rejecting a review or review reply.
- Removing content: archiving an unlawful listing, deleting a prohibited message, cancelling an RFQ or withdrawing a quotation.
- Suspending an organization: placing the organization into read-only mode (users may view existing records and exercise account/export rights, but cannot publish, edit or send new items, and public supplier pages/listings are hidden).
- Suspending an individual user account: revoking active sessions and blocking sign-in for the offending user.
- Refusing or revoking organization verification.
- Terminating the organization's or user's access to Amya in accordance with Section 11 of the Terms.
- Referring unlawful activity to competent law-enforcement or regulatory authorities.
Except where immediate protective action is required to prevent serious harm, fraud, security compromise or illegal activity (or where prior notice is prohibited by law), we notify the affected organization of the concern and provide a reasonable opportunity to remedy a curable breach before suspending or terminating the organization.
Measures against repeat misuse: After issuing a prior warning, Amya may suspend for a reasonable period the accounts of users who frequently submit manifestly illegal content, or suspend the processing of notices and appeals from individuals or entities that frequently submit manifestly unfounded reports or complaints, assessed case-by-case based on volume, proportion, gravity and intent.
10. Statements of reasons, complaints and appeals
10.1 Statements of reasons
Whenever we restrict or remove content, or suspend or terminate an organization or user account, due to alleged illegality or a breach of this Policy or the Terms, we provide a clear and specific statement of reasons no later than when the restriction takes effect (unless prohibited by law or a competent authority), delivered via workspace notification and/or email. The statement specifies the measure taken and its scope, the facts and legal or contractual grounds relied upon, whether automated detection or decision-making was used, and the available appeal and redress options. Statements of reasons are retained for 1,095 days (3 years).
10.2 Internal appeals
- How to appeal: An owner or administrator of an affected organization may submit one internal appeal per decision within 180 days directly in the organization workspace. Where mandatory law grants a longer appeal window (including six (6) calendar months from the date of notification under EU Digital Services Act Article 20, where applicable), or where an appeal is submitted by an individual user whose personal access was suspended, an organization appealing a verification refusal, or a content notifier appealing a decision not to act on a report, the appeal may be submitted free of charge by emailing support@amya.africa referencing the relevant decision or report.
- Human review and restoration: Every appeal is reviewed in a timely, diligent and non-arbitrary manner by qualified human staff who were not involved in the original decision (never solely by automated means). We notify the appellant of the reasoned outcome; if the decision is reversed, the affected content or access is restored promptly. Appeal records are retained for 1,095 days (3 years).
10.3 External redress and court rights
Where the EU Digital Services Act applies, eligible users and notifiers may also refer disputes regarding moderation decisions to a certified out-of-court dispute-settlement body. Internal appeals are free of charge and never restrict your right to bring proceedings before a competent court at any time.
11. Supplier traceability
Suppliers must maintain accurate and up-to-date legal identity, corporate registration, address, email and telephone records on Amya at all times. Where mandatory law (including EU Digital Services Act trader-traceability rules where applicable) requires verification or disclosure of specific trader particulars, identity documents, payment-account details or product-compliance self-certifications for offers directed into regulated territories, the supplier must promptly provide and update those particulars upon request as a condition of offering listings in those territories.
12. Cooperation with authorities and reservation of rights
We may preserve and disclose records to competent courts, regulators and law-enforcement authorities where required by law or lawful order, or where reasonably necessary to protect personal safety or prevent fraud and unlawful activity, in accordance with our Privacy Notice.
Failure or delay by Amya in enforcing this Policy in any instance does not constitute a waiver of our right to enforce it subsequently.
13. Changes to this Policy and contact
We may update this Policy to reflect legal developments, emerging trade or safety risks, or changes to our moderation systems, providing advance notice in accordance with Section 13 of the Terms.
