English is the source and governing version of these Billing Terms. If any translation differs from the English version, the English version prevails.
Part 1 — Plans, periods, payment, renewal, trial and launch offer
1. Provider and scope
These Billing Terms form part of the Amya Terms of Use entered into with AMYA AFRICA LTD, a company registered in England and Wales under company number 17469906, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("Amya", "we", "us" or "our").
- Billing enquiries: billing@amya.africa
- General support: support@amya.africa
Amya is a cross-border business-to-business (B2B) intermediary marketplace connecting African commercial merchants directly with manufacturers and suppliers worldwide. Amya is not a party to any buyer–supplier sale contract and takes no part in payments for goods. These Billing Terms govern payments solely for Amya's own supplier platform plans. The contracting customer for any paid plan is the business organization, not its individual users.
2. Who pays
- Buyers are always free: Buyer organizations use Amya free of charge, whether verified or unverified. Verification never creates a paid buyer tier.
- Suppliers pay only for chosen paid plans: Supplier organizations start on a free basic supplier plan. They may take an eligible one-time free trial and may choose to purchase one of three paid supplier plans. Organization verification is free of charge for suppliers as well as buyers.
3. Plans, currencies and prices
Current supplier plans, features and standard prices are published on the Amya plans page at https://amya.africa/en/pricing and confirmed at checkout prior to payment. The prices shown there and at checkout are the prices that apply.
Paid supplier plans are offered for fixed periods of one year (12 calendar months) or six months (6 calendar months). Payments are accepted in USD, GBP or EUR, according to the currency options offered for the selected plan at checkout. Where a promotional offer applies, checkout displays both the standard plan price and the discounted amount payable for the covered period.
4. Paid periods, payment methods and bank charges
Each purchase pays for a single fixed period (12 calendar months or 6 calendar months). Plan purchases are standalone one-off payments, never recurring auto-debit subscriptions.
4.1 Available payment methods
Depending on the selected plan and currency, you may pay through AMYA AFRICA LTD's UK Stripe account by:
- Payment card or Stripe-hosted bank transfer: Amya activates or schedules the paid period only once Stripe records the payment as successfully completed in full. Submitting a checkout form or initiating a wire from your bank does not activate a plan while funds remain pending.
- Manual bank transfer with proof-of-payment upload (where offered): Your payment and plan remain pending until Amya's finance team verifies receipt of cleared funds and approves the transfer. Finance approval—not the date money leaves your bank or the date a receipt is uploaded—determines the earliest start time of that paid period. An organization may have only one manual bank transfer awaiting finance approval at any time.
4.2 Bank charges, SWIFT fees and net receipt ("OUR" basis)
Your organization is solely responsible for all bank transfer fees, international SWIFT charges, intermediary/correspondent bank deductions and currency-conversion costs. All bank transfers must be instructed so that AMYA AFRICA LTD receives the full invoiced amount net of all bank charges. Any underpayment resulting from deducted wire fees will remain pending and will not activate a paid period until the shortfall is settled in full.
4.3 Non-overlapping period scheduling
Once a payment is recorded as completed (or approved by finance):
- if no trial or paid period is currently active or scheduled, the new paid period starts immediately upon completion or approval;
- if a free trial or an existing paid period is currently active or scheduled, the newly confirmed period is queued automatically to start immediately when the last active or scheduled period ends, so paid periods never overlap and remaining trial or prepaid time is never lost; and
- if completion or finance approval occurs after a prior trial or paid period has already expired (with no interim active period), the new period starts on the date of recorded completion or approval, not retrospectively from the earlier expiry date.
5. Manual renewal only — no automatic charges
Paid plans do not renew automatically. Nothing is ever charged without an active, separate payment initiated by your organization. Previous card or bank-transfer payments never authorize Amya or Stripe to charge you for a future renewal.
Unless a renewal period has already been paid for and scheduled, Amya sends reminders to the organization's active owners and administrators 7 days and 1 day before a paid period ends, and sends one notice when the period ends.
If you choose not to renew, you do not need to cancel anything and no further charge occurs; your organization simply returns to the free basic supplier plan when the paid period ends, and its product listings remain published (subject to basic-plan feature limits). When you choose to renew, you pay the prevailing standard price shown at checkout, subject to any remaining launch-offer coverage under Section 7.
6. New-supplier free trial
Where offered, an eligible new supplier organization may activate a free trial of the applicable trial plan for 14 days. The trial must be initiated by the organization's owner, and no payment card is required.
- Strict one-trial limit: Eligibility is limited strictly to one free trial per organization and one free trial per individual owner initiating it. Organizations that have previously paid for any plan are ineligible, and closing an organization to open a new organization does not entitle the same person or business to another trial.
- End of trial: Amya sends active owners and administrators reminders 7 days and 1 day before the trial ends (unless a paid period is already scheduled) and a notice upon expiry. A trial never converts automatically into a paid charge. Unless a paid period has been completed or approved by finance, the organization returns automatically to the free basic supplier plan at trial end, with its product listings preserved.
7. Time-limited launch offer (50% off first year)
The launch offer grants 50% off the standard plan price for a total of 12 months of covered paid periods:
- Yearly plan: 50% off the first 12-month paid period; or
- Six-monthly plan: 50% off each of the first two 6-month paid periods.
Eligibility and duration rules:
- New paying suppliers only: Available solely to supplier organizations that have never previously paid for an Amya plan at the standard price (a free trial or complimentary grant by Amya does not disqualify you). Closing, abandoning or restructuring an organization to create a new account for the same business, affiliate or principal does not create fresh eligibility for the launch offer.
- Entry before offer closing date: Your first discounted paid period must be purchased while the offer is open and before the closing date displayed on the plans page and checkout (Amya reserves the right to close the offer to new entrants earlier by updating the plans page).
- Protection of second six-month period: The closing date ends entry for new participants only; a supplier that validly purchased its first discounted 6-month period under the offer retains its 50% discount entitlement for its second covered 6-month period even when renewing after the offer has closed to new entrants.
- Standard pricing thereafter: Once your 12 covered paid months are used, all subsequent manual renewals are charged at the prevailing standard plan price displayed at checkout. Expiry of the offer never triggers an automatic charge.
Part 2 — Taxes, invoices, refunds, cancellation and failed payments
8. Taxes, VAT and withholding tax gross-up
- Prices exclusive of VAT and sales taxes: Unless expressly stated otherwise on the checkout screen, all plan prices displayed on Amya are exclusive of UK Value Added Tax (VAT), EU VAT, Goods and Services Tax (GST) and any applicable local sales or indirect taxes. Where VAT or indirect tax is chargeable by law based on AMYA AFRICA LTD's registration status and your organization's place of establishment, it will be calculated and added at checkout at the prevailing statutory rate.
- B2B status and reverse charge: You warrant that you are purchasing exclusively as a business entity for business purposes and agree to provide valid corporate registration and VAT/tax identification numbers upon request. Where B2B reverse-charge rules apply under UK, EU or local tax law, your organization is solely responsible for self-accounting for VAT/tax to its competent tax authority.
- No set-off and mandatory withholding-tax gross-up: All payments to AMYA AFRICA LTD must be paid in full without any set-off, counterclaim, deduction or withholding. If your organization (or its bank) is required by the laws of your country to deduct or withhold any local withholding tax, income tax or levy from a payment to Amya, you must increase ("gross up") the gross amount paid so that AMYA AFRICA LTD receives and retains a net sum equal to the full invoiced price as if no such deduction or withholding had been required.
9. Invoices and credit notes
Invoices for supplier plans are issued electronically by AMYA AFRICA LTD (Company No. 17469906, Registered Office: 128 City Road, London, EC1V 2NX, United Kingdom).
Each completed payment generates a permanent, immutable invoice record displaying the issuer's particulars, your organization's billing details, invoice number, date, currency, the selected plan line at its standard price, a separate negative discount line where applicable (e.g., "Launch offer, 50% off"), any applicable tax/VAT line, and the total amount charged.
In accordance with UK accounting standards, issued invoices are never overwritten; any verified billing error correction, tax adjustment or approved refund is documented by issuing a separate formal Credit Note (and, where appropriate, a replacement invoice). Contact billing@amya.africa regarding any invoice query.
10. Cancellation, organization closure and refunds
10.1 Stopping future renewals
Because every paid period is a manual, standalone purchase, stopping future renewals requires no cancellation request—simply do not make a new payment when your current period ends. Your organization will revert automatically to the free basic supplier plan at period end.
10.2 Active paid periods and refund policy
Because Amya is a strictly B2B service and plans are sold as fixed-term prepaid periods (with a free trial and free basic plan available for prior evaluation), there is no self-service mid-term cancellation button, and all payments for active or commenced paid periods are final and non-refundable, except:
- where a refund is required by mandatory applicable law that cannot lawfully be excluded in a B2B contract;
- where Amya verifies in writing an erroneous duplicate charge or platform billing error; or
- where you validly exercise your right to reject a material adverse mid-term variation to the Terms of Use and close your organization within 30 days under Section 13 of the Terms of Use (in which case a pro-rata refund applies for full unused calendar months).
10.3 Scheduled future periods and organization closure
Closing an organization terminates active paid entitlements and automatically cancels any future paid period scheduled to start later, without issuing an automatic system refund, and closure is blocked while any payment remains pending or disputed. If your organization holds a prepaid future period that has not yet commenced and wishes to request cancellation or closure before that future period starts, you must contact billing@amya.africa before initiating organization closure. Where cancellation of an unstarted scheduled period is requested before its start date, Amya will review and process eligible refunds (less any actual third-party bank/wire return fees and adjusting for any multi-period promotional conditions).
10.4 Effect and mechanics of refunds
- Full refunds: When an approved full refund is processed by Amya staff, the payment is marked refunded, a Credit Note is recorded, the associated paid period is cancelled immediately (reverting the organization to the free basic supplier plan unless another valid period applies), and any sales-representative referral commission linked to that payment is reversed.
- Partial or pro-rata refunds: Approved partial refunds are settled and reconciled by Amya's finance team without automatically cancelling remaining agreed access unless associated with account closure.
- Refund payment rails and wire costs: Card payments and eligible Stripe-hosted bank transfers are refunded via Stripe to the original payment source or customer Stripe cash balance. International SWIFT bank wires that cannot be returned automatically through Stripe require verified beneficiary bank instructions to billing@amya.africa for manual return by finance; Amya may deduct actual third-party bank wire charges incurred in returning manual or underpaid international transfers.
11. Failed, expired or compliance-held payments
- Pending or late payments: A failed or unapproved payment never activates a paid period and never triggers a late-payment penalty or automatic charge. If a late transfer completes after an earlier period has expired, the new period runs forward from completion/approval (Section 4.3).
- Pending Stripe bank-transfer expiry: An unpaid Stripe-hosted bank-transfer request expires automatically if cleared funds are not matched within the payment deadline displayed in your checkout instructions, cancelling the pending payment request and pending plan period. Expiry does not trigger an automatic bank refund: if funds arrive late or partially into your Stripe customer cash balance, they remain held by Stripe to be returned by Stripe or allocated manually by Amya finance. Never wire funds against an expired payment reference without contacting billing@amya.africa first; if a checkout attempt fails or stalls, contact billing@amya.africa (or resume/retry via your billing dashboard) before sending a duplicate transfer.
- Sanctions, AML and fraud holds: Amya and Stripe reserve the right to delay, freeze, reject or return any payment (or withhold plan activation or refund disbursement pending clearance) where reasonably required to comply with UK, EU, UN or US sanctions, anti-money laundering (AML) checks, fraud-prevention screening or payment-network rules, without liability for resulting delays.
12. Summary of what happens when a period ends
- If a scheduled renewal period is already confirmed: the next paid period starts seamlessly when the current period ends.
- If no renewal period is confirmed: the supplier organization returns automatically to the free basic supplier plan; all product listings remain intact on the platform, and only paid-tier features and allowances are adjusted to basic-plan limits. No automatic charge is ever made.
13. Governing law, English version and contact
These Billing Terms form part of the Amya Terms of Use and, together with any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales in London.
English is the source and governing version of these Billing Terms; if a translation differs, the English version prevails.
